This training program on Essential Commercial Contracts for Non-Legal Managers is set out to support lawyers and non-lawyers involving in drafting and negotiating the commercial contracts. The general concept of this intensive and interactive training course is not a legal study but a practical learning from real experiences and case studies of successful and failure commercial contracts. The training course on Essential Commercial Contracts for Non-Legal Managers will cover the commercial terms of contract, commercial contract planning, alternative form of contracts and contractual party in legal perspectives, successful techniques in drafting and negotiating commercial contracts, risk management in commercial contracts, including potential litigation in the worst-case scenario. Also, tax consideration will be practically trained for the audience to be aware of tax risks in the commercial contracts.

About Course Leader

This course will be conducted by four course leaders. The first one has more than 30 years of experiences in being a professional legal and tax advisor on corporate & tax laws, finance & securities regulations as well as M&A, IPO, Property fund, REITs, family business, private equity fund, venture capital, hotel & property, offshore incorporation and major business law practices including business contracts.

Second course leader is a partner of Law Firm and was previously a legal officer with the Revenue Department. She has 15 years of tax consulting experience. Her specialties including corporate income tax, personal income tax, international tax, value added tax, specific business tax, stamp duty and petroleum income tax. She has extensive experience on cross border transactions, tax inspection, petroleum business and legal matters.

Third has more than 18 years of experiences in providing the legal advice for the business operation, contract, registration of trademark & trade service in Thailand and overseas. She is Advising on the incorporation of company in Thailand and overseas and guiding on the data privacy protection as well as the legal compliance.

The other course leader has been practicing law and providing legal services since 2011. He is also experienced on providing in-house training on commercial contract drafting for various companies, and was also a visiting lecturer on unfair contract terms at the Faculty of Law, Bangkok University. In early 2019, he shifted from law firm to become an in-house Legal Manager.
